Key points

  • Wave is a business service. By using it you confirm you're using it for your business.
  • The trial is free for 14 days with 2 bulletins, with no credit card, and set up by Wave after you request a free bulletin or a demo. The first 50 businesses of each trial bulletin are shown in full. Pro starts at $100 per month, or $80 per month billed yearly, extra business categories and countries are priced separately, and we bill by invoice. Monthly plans can be cancelled any time; yearly plans renew automatically, and we remind you 30 days before.
  • There are no seats. Unless an Exclusive Order covers them, other customers, including ones selling what you sell, may receive the same businesses. The Exclusive plan reserves a sales category in a country for one company, under a yearly Order.
  • We don't guarantee how many businesses you'll receive: it depends on how many open in your market.
  • You may use Wave data for your own sales and marketing. You may not resell it, publish it, share it outside your organization or use it to build a competing database.
  • You are the sender of your outreach. You are responsible for making sure your calls and emails comply with the law, including anti-spam and privacy laws, and for honoring opt-outs and removal requests, including those we pass on to you.

These Terms of Use ("Terms") are an agreement between Wave Intelligence, Inc. ("Wave", "we", "us") and you. If you use the Service on behalf of a company or other organization, "you" means that organization, and you confirm that you have authority to accept these Terms for it. The summary above is for convenience. The full Terms below control.

1. Accepting these Terms

By accessing our website at waveone.io (the "Website"), requesting a demo, a free bulletin or a trial, creating an account or using the Wave platform, bulletins and related services (together, the "Service"), you agree to these Terms and acknowledge our Privacy Policy. If you don't agree, please don't use the Website or the Service.

The Service is for business use only. You must be at least 18 years old and use the Service for the purposes of your trade, business or profession.

2. The Service

Wave finds newly opened and tech-renewing businesses, enriches them with publicly available business information and delivers matching businesses to you as weekly or monthly bulletins, following the targeting set for your account (see section 6). Depending on your plan, the Service may also include the Exclusive plan (see section 7), click-to-contact tools, outreach tools, CRM export and integrations, a team workspace and lookalike matching.

We continuously improve the Service and may add, change or remove features. We won't materially reduce the core functionality of a paid plan during your current billing period.

3. Accounts

You must give us accurate account information and keep it up to date. You are responsible for keeping your login details secure, for all activity under your account and for the teammates you invite. Tell us promptly at support@waveone.io if you suspect unauthorized access to your account.

4. Trial

We offer a free 14-day trial of the Service with 2 bulletins, set up by Wave after a request for a free bulletin, a demo request or an invitation. We email you a link, and the trial starts when you first open it. No credit card is required, and a trial doesn't turn into a paid subscription unless you choose to subscribe.

  • What it includes: 1 lead (your sales category, the businesses you sell to and your countries) and 2 bulletins during the trial. The first bulletin is prepared when we set up your trial, and the second arrives later in the trial. The first 50 businesses of each bulletin are shown in full. For the rest, only the category and city are shown until you move to Pro.
  • Other customers: a trial bulletin may include businesses that other customers also receive, and doesn't include businesses reserved for another customer under an Exclusive Order (section 7).
  • Moving to Pro: when you move to Pro, the rest of your bulletins unlock. Your Pro plan starts once we receive payment of your first invoice (section 9).

Trials are for evaluating the Service. We may limit, change or end trials, or decline a trial request, at our discretion. Trials are provided without any warranty.

5. Plans and fees

We offer three plans: the Trial (section 4), Pro and Exclusive (section 7). What each plan includes is described on the Website and in the Service. We may also agree an order form with you, for example for the Exclusive plan or custom terms (an "Order").

  • Pro has a base price starting at $100 per month billed monthly, or $80 per month billed yearly. Pro isn't priced per seat or per contact. Your price is the base price plus any extras.
  • Billing period: you choose monthly or yearly billing. Billed yearly, Pro costs 20% less than billed monthly, and the year is billed upfront (section 9).
  • Extras: each extra business category, extra country or other add-on is priced separately. We set the price of an extra based on your company, the country and the size of the market. You ask us for an extra, for example with "Add category" or "Request a change" in the Service, and we tell you its price before it's added.
  • Your price: your current price, including its base and extras, is shown in the Service. When you move to Pro, we keep a record of your acceptance of these Terms and of the price at that time.
  • Bulletins: weekly and monthly bulletins cost the same. A bulletin includes the matching businesses of its period that have at least one way to contact them, up to 5,000.
  • Exclusive is priced in an Order (section 7).
  • Currency and taxes: prices are in US dollars and exclude taxes (section 9).
  • Price changes: we will give you at least 30 days' notice of a price change. It applies from your next billing period (for yearly plans, from your next renewal) and doesn't change what you've already paid for.

If an Order conflicts with these Terms, the Order controls.

6. Targeting and other customers

Your bulletins follow the targeting set for your account.

  • Targeting: your sales category (what you sell, for example hotel amenities or POS systems), the business categories you sell to (for example restaurants, cafés or hotels) and your countries. We set it up with you and change it when you ask (section 5). We define sales categories and business categories reasonably and in good faith, and we may move your targeting to the sales category that fits it.
  • No seats: paid plans don't use seats, capacity limits or waitlists. We decide whether to offer a subscription at our discretion, for example after reviewing the other customers in the same sales category.
  • Other customers: unless an Exclusive Order covers them (section 7), other customers, including ones selling the same things as you, may receive the same businesses. Customers in other sales categories can always receive the same businesses. We don't deliver the same business to you twice.
  • Trials: trial accounts may see businesses that other customers also receive (section 4).
  • Exclusive in your market: if another customer takes an Exclusive Order that covers your sales category in a country your plan covers, we email you. You keep receiving those businesses until the end of the period you've paid for, and in any case for at least 30 days from our email. After that, that part of your targeting ends and is no longer billed.

Exclusive Orders cover only what Wave delivers. They don't stop other companies from finding the same businesses through their own means, and neither these Terms nor an Order restrict us from providing aggregated or de-identified statistics about any market to anyone, or from using data for our own operations, such as improving the Service, or to comply with the law.

7. Exclusive

The Exclusive plan reserves a sales category in one or more countries for one customer, for all business categories or only some of them. It is an annual contract sold under an Order that sets out its sales category, countries, business categories, price and term. Exclusive can cover multiple countries or the whole world and includes API access and webhooks.

While your Order is in effect and your account is in good standing, we won't provide identifiable or contactable businesses covered by your Order (its countries and business categories) to other customers whose products or services fall within the same sales category, including trial accounts. The one exception: paying customers who already receive those businesses when your Order starts are notified by email and keep receiving them until the end of the period they've paid for, and in any case for at least 30 days (section 6).

The Exclusive plan doesn't restrict us from providing the same businesses to customers in other sales categories, or from the other uses described at the end of section 6. It is subject to availability and offered on a first-come, first-served basis. It ends when your Order ends or is terminated, and doesn't apply while the Service is suspended for non-payment or breach.

8. No guarantee of volume or results

How many businesses you receive depends on how many newly opened or tech-renewing businesses appear in your market and match your targeting in each period, which varies by market and from week to week. A bulletin only includes businesses with at least one way to contact them, up to 5,000 (section 5). Some bulletins may contain few or no businesses. Market size indicators shown in the Service are estimates. We don't guarantee any number of businesses or contacts, or any reply, meeting, sale or other result. Your fees don't depend on the number of businesses you receive.

9. Billing and taxes

  • Invoices: for now we bill by invoice and don't take card payments. Invoices are payable by the due date shown on them. When you move from the Trial to Pro, your Pro plan starts once we receive payment of your first invoice.
  • Billing periods: monthly plans are billed monthly in advance. Yearly plans are billed upfront for 12 months.
  • Changes to extras: an extra added mid-period is billed from the day it's added, pro rata for the rest of the current billing period (monthly or yearly), on your next invoice. An extra you remove stops being billed from your next billing period (section 10).
  • Taxes: prices exclude taxes, such as VAT, GST or sales tax. You are responsible for the taxes that apply to your purchase, other than taxes on Wave's income.
  • Late payment: if an invoice isn't paid by its due date and remains unpaid after we notify you, we may suspend the Service, including bulletin deliveries, until it is paid.

10. Cancellation and refunds

  • Monthly plans renew every month until you cancel. You can cancel at any time by emailing billing@waveone.io, and cancellation takes effect at the end of the month you've paid for.
  • Yearly plans run for 12 months and renew automatically for another 12 months. We email you a reminder 30 days before the renewal date. You can cancel or change your plan before the renewal date by writing to billing@waveone.io. Cancellation takes effect at the end of the term, and a yearly plan can't be cancelled for a refund during its term.
  • Removing an extra: you can ask us to remove an extra, such as a business category or a country, at any time by emailing billing@waveone.io. It stops being billed from your next billing period.
  • Exclusive and other Orders run for the term set out in the Order. You can't cancel an Order for convenience during its term, and the fees for the rest of the term remain payable.
  • Refunds: fees are non-refundable, including for partial billing periods, except where the law requires otherwise or we agree in writing.

11. Wave Data and how you may use it

"Wave Data" means the bulletins, Business Contact Data, fit scores and other data we provide through the Service. Subject to these Terms and payment of your fees, we grant you a non-exclusive, non-transferable license, during your subscription, to use Wave Data for your own sales and marketing: finding, contacting and selling to businesses and managing your sales pipeline. You may export Wave Data to your CRM and other internal systems.

You may not:

  • sell, resell, sublicense, publish or otherwise share Wave Data outside your organization, except with service providers that process it on your behalf (such as your CRM provider);
  • use Wave Data to build, train or improve a competing product or database;
  • use Wave Data to determine anyone's eligibility for credit, insurance, employment, housing or any other purpose covered by the US Fair Credit Reporting Act or similar laws. Wave is not a consumer reporting agency;
  • use Wave Data to harass, discriminate against or track individuals, or for any unlawful purpose;
  • scrape, bulk download or systematically extract data from the Service beyond its normal features.

After your subscription ends, you may keep using Wave Data that you exported to your own systems during your subscription for your own sales and marketing, subject to these Terms and applicable law, including honoring deletion and opt-out requests.

12. Your outreach and legal compliance

You decide whom you contact, how and why. For your outreach, you are the sender and the controller (or the equivalent role under the law that applies) of the personal data you use. You are solely responsible for how you contact businesses and people using Wave Data and for complying with all laws that apply to you, for example:

  • United States: the CAN-SPAM Act, the Telephone Consumer Protection Act (TCPA) and do-not-call rules, and state privacy laws;
  • European Union and United Kingdom: the GDPR and the UK GDPR, and the e-privacy rules on electronic marketing, such as national laws implementing the ePrivacy Directive and the UK Privacy and Electronic Communications Regulations;
  • Türkiye: KVKK (Law No. 6698), and Law No. 6563 on the Regulation of Electronic Commerce and its Message Management System (İYS) requirements;
  • the laws of any other country where you, or the businesses and people you contact, are located.

In particular, you must:

  • identify yourself truthfully in your communications, and give any notices and obtain any consents the law requires;
  • promptly honor opt-outs and requests not to be contacted or to have information deleted, whether they reach you directly or we pass them on to you, including in data you have exported;
  • use Wave Data only for your own sales and marketing, and not resell it, publish it or share it outside your organization (section 11).

13. Removal requests and suppression

Businesses and people can ask us to remove their information from Wave. We may suppress any business that asks to be removed, which means we stop delivering it and may remove it from the Service. When we pass on an opt-out or removal request to you, you must honor it as described in section 12.

14. Outreach tools

When you use our email sequences or other outreach tools, you are the sender, and messages are sent on your behalf and in your name. You are responsible for their content and recipients and for having the right to send them. Each message must include accurate sender information, a valid postal address where the law requires one and a working way to opt out.

The Service provides controls to support responsible outreach: verified addresses, sending limits and gradual warm-up, a suppression list and one-click opt-out honored across sequences and the source of each contact. These controls help you meet your obligations but don't replace them, and using them doesn't guarantee that your outreach complies with the law of any country.

We may pause or stop campaigns if bounce or complaint rates are high, if we receive abuse complaints or if we reasonably believe a campaign breaks these Terms or the law. We can't guarantee that any message will reach the recipient's inbox.

15. Your data

"Customer Data" means the data you or your teammates upload or submit to the Service, such as customer lists for lookalike matching, notes, tags, files and data from connected integrations. You own your Customer Data and grant us a license to host, process and use it to provide, secure and support the Service.

When Customer Data contains personal data, we process it as your processor or service provider. We will sign a data processing agreement with you on request. We won't sell your Customer Data, share it with other customers or use your customer lists to build bulletins for anyone else. We may use aggregated and de-identified data derived from use of the Service to operate and improve it.

You confirm that you have all rights and permissions needed to provide Customer Data to us.

16. Acceptable use

You must not, and must not allow others to:

  • use the Service in breach of any law or anyone's rights;
  • use the Service to send spam or misrepresent your identity;
  • upload malware or interfere with or disrupt the Service;
  • attempt to gain unauthorized access to the Service or other accounts, or probe or test its security without our written permission;
  • copy, modify, reverse engineer or create derivative works of the Service, except as the law expressly permits;
  • use bots, scrapers or other automated means to access the Service, other than our documented integrations and APIs;
  • share your account with people outside your team or resell access to the Service.

17. Third-party services

The Service can connect to third-party services, such as CRMs, email providers and spreadsheets. Your use of those services is governed by their own terms, and we are not responsible for them. If you connect a third-party service, you authorize us to exchange data with it on your behalf.

18. Intellectual property

Wave and its licensors own the Service, the Website, our software, our compilations of Wave Data and our trademarks. These Terms don't give you any rights in them other than the limited rights expressly granted. If you send us feedback or suggestions, we may use them without any obligation to you.

19. Confidentiality

Each party will protect the other's non-public business information that it receives in connection with the Service with at least reasonable care, and will use it only to perform under these Terms. This doesn't apply to information that is or becomes public through no fault of the receiving party, or that the receiving party already had or developed independently.

20. Data accuracy and website content

Wave Data comes from public sources and automated processes, including AI models, and may be incomplete, out of date or inaccurate. We work to keep it accurate but don't guarantee it. Statistics, estimates and examples on the Website, such as expected sales increases or time savings, are illustrative and are not a promise of results. Sample businesses shown on the Website are fictional.

21. Disclaimers

The Service, the Website and Wave Data are provided "as is" and "as available". To the fullest extent permitted by law, Wave disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement and accuracy. We don't warrant that the Service will be uninterrupted or error-free, that Wave Data will be complete or accurate or that you will achieve any particular business result.

22. Limitation of liability

To the fullest extent permitted by law: (a) neither party will be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or data, even if advised of the possibility of such damages; and (b) each party's total liability arising out of or relating to these Terms or the Service will not exceed the greater of the amounts you paid to Wave in the 12 months before the event giving rise to the claim and US $100.

These limits don't apply to your payment obligations, your indemnification obligations or your breach of section 11 (Wave Data), section 12 (Your outreach and legal compliance) or section 16 (Acceptable use).

23. Indemnification

You will defend, indemnify and hold harmless Wave and its officers, directors, employees and agents from and against any claims, damages, losses and expenses, including reasonable legal fees, arising out of your Customer Data, your outreach to businesses or people, or your use of the Service or Wave Data in breach of these Terms or the law.

24. Suspension and termination

You can cancel as described in section 10. For yearly plans and Orders, stopping use of the Service during a term doesn't end your payment obligations for that term. We may suspend or terminate your access if you materially breach these Terms and, where the breach can be fixed, don't fix it within 10 days of our notice; if you don't pay fees when due; or immediately, if needed to prevent harm to the Service, our users or third parties or to comply with the law.

When your access ends, the licenses in these Terms end, except as stated in section 11. On request made within 30 days after termination, we will make your Customer Data available for export. After that, we delete it in line with our data retention practices. Sections that by their nature should survive termination will survive, including sections 5, 8 to 13 and 15 to 27.

25. Changes to these Terms

We may update these Terms from time to time. If a change is material, we will notify customers by email or through the Service at least 15 days before it takes effect. By continuing to use the Service after a change takes effect, you accept the updated Terms.

26. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of laws rules. The state and federal courts located in Delaware have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and both parties consent to their jurisdiction. To the extent permitted by law, each party waives its right to a jury trial. Before filing a claim, each party will try in good faith to resolve the dispute informally for at least 30 days, starting from written notice sent to the other party.

27. General

  • Entire agreement: these Terms, together with any Order and data processing agreement, are the entire agreement between you and Wave about the Service.
  • Assignment: you may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition or sale of all or part of our business.
  • Severability and waiver: if any provision is found unenforceable, the rest remains in effect. Not enforcing a provision isn't a waiver of it.
  • Force majeure: neither party is liable for delays or failures caused by events beyond its reasonable control.
  • Relationship: the parties are independent contractors.
  • Export and sanctions: you will comply with applicable export control and sanctions laws in your use of the Service.
  • Notices: we will send notices to the email address associated with your account. You can send notices to hello@waveone.io.
  • Language: these Terms are written in English. Any translation is for convenience only, and the English version controls.
